Terms of service
Last updated 2 November 2026
These terms are an agreement between All Dev Ltd ("we", "us"), a company registered in England and Wales with company number 13451652, and the business that uses Simpler Books ("you"). By setting up or using Simpler Books, you agree to them on behalf of your business. If you have a question about them, email hello@simplerbooks.co.uk.
1. The service
1.1. Simpler Books is online bookkeeping software for businesses ("the service"). It is provided to businesses, not to consumers, and you confirm that you're using it for your business.
1.2. We may improve and change the service over time. We won't remove anything that's central to keeping your books without telling you first.
1.3. The demo at demo.simplerbooks.co.uk is for trying the service. Anyone can see and change what's in it, and it is set up afresh every night, so don't enter real information in it.
2. Accounts and access
2.1. Each person who uses the service needs their own login. Keep your passwords to yourselves, and tell us straight away if you think someone else has used one.
2.2. Your company's owners decide who can open its books, and what each person can do. You're responsible for what the people you give access to do in the service.
3. Your books and your responsibilities
3.1. You're responsible for what's entered in your books, for checking it, and for your business's tax returns, VAT returns and statutory accounts. The service works out figures from what you enter, but it doesn't give accounting, tax or legal advice. Take advice from an accountant where you need it.
3.2. You must keep your business's records for as long as the law requires. We back up the service every day, but you should also export the reports and records you need to keep.
3.3. You must not use the service for anything unlawful, try to get into anyone else's books, interfere with the service or its security, or try to copy or take apart its software.
4. Fees
4.1. You'll pay the fees we agree with you in writing, by the dates on our invoices. We'll tell you at least 30 days before we change them.
4.2. If an invoice is more than 30 days overdue, we may suspend your company after telling you. While it's suspended, everyone can still look at and export its books, but nothing can be changed. We'll switch it back on once the invoice is paid.
5. Your information
5.1. Your books, and everything you enter in them, belong to your business. You give us permission to keep them and work with them only so that we can provide the service.
5.2. Your books are kept on a server in the UK. Our privacy notice explains what we keep about the people who use the service, and who else is involved.
5.3. Where your books contain personal information, such as your customers' and suppliers' contact details, your business is the controller of it and we are your processor, under the UK GDPR and the Data Protection Act 2018. We will:
- only process it to provide the service, and otherwise on your written instructions, unless the law requires otherwise
- make sure that anyone who can see it is bound to keep it confidential
- keep it secure, with appropriate technical and organisational measures
- only use the other companies listed in our privacy notice, and tell you before we add or replace one, so that you can object
- help you to answer requests from people exercising their rights, and with your own obligations on security, breaches and impact assessments
- tell you without undue delay if we become aware of a breach affecting it
- delete it when you stop using the service, as in section 8, unless the law requires us to keep it
- give you the information you reasonably need to show that we're meeting these obligations
5.4. We'll keep anything we learn about your business through the service confidential, and only use it to provide the service.
6. Availability and support
6.1. We'll do our best to keep the service available, but we can't promise it will never be interrupted. We'll try to do maintenance out of working hours, and to tell you beforehand when we can.
6.2. We'll help with questions about using the service by email, on working days.
7. Our software
7.1. All Dev Ltd owns the service and its software, including its source code. While you use the service, you have the right to use it for your business. Nothing in these terms transfers any of our rights in it to you.
7.2. If you send us ideas or suggestions, we're free to use them.
8. Ending the service
8.1. You can stop using the service at any time by telling us. You'll pay for the period up to the end of the one you've already been invoiced for, and we won't refund a period that has started.
8.2. We may end the service for you with 30 days' notice, or straight away if you seriously or repeatedly break these terms, or don't pay an invoice within 60 days of its date.
8.3. When the service ends, you'll have 30 days to export what you need. After that, we'll delete your company's books, and they'll drop out of our backups as those are replaced.
9. Liability
9.1. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law.
9.2. We aren't liable for loss of profits, revenue, business, goodwill or anticipated savings, for indirect or consequential loss, or for penalties, interest or tax that arise from what was entered in your books or from returns made using them.
9.3. Otherwise, our total liability to you under or in connection with these terms, in each year that starts on the date you first used the service, is limited to the fees you paid us in that year.
9.4. The service is provided as described on this site and in these terms. Other than as set out in them, we give no other promises about it, as far as the law allows.
10. General
10.1. We may update these terms. We'll tell you at least 30 days before a change that affects you, by email or in the service. If you keep using the service after that, the new terms apply.
10.2. Neither of us is liable for a delay or failure caused by something outside our reasonable control.
10.3. These terms, with anything else we agree in writing, are the whole agreement between us about the service. If any part of them can't be enforced, the rest still applies. Not enforcing a term straight away doesn't mean giving it up.
10.4. You can't transfer your rights under these terms without our agreement. We may transfer ours to another business that takes over the service, and we'll tell you if we do.
10.5. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute about them.
